CCMGA BYLAWS CHANGE

A motion was made and approved unanimously by the CCMGA Board of Governors to ask for a vote from the membership to make a change to the CCMGA Bylaws. This vote will be held at the annual Banquet on November 20th, 2009.

The purpose of these proposed changes is to provide more continuity in board experience. In order to transition from our current policy into the new one, it will be necessary to do the following:

  1. In the election for the 2010 board, there will be 5 people elected, with the top 3 vote getters serving 3 year terms and the other 2 serving 2 year terms.

  2. In the election for the 2011 board, there will be 4 people elected, with the top 3 vote getters serving 3 year terms and the other 1 serving 1 year term.

The proposed wording changes are shown below with the old (to be removed) wording in italics and the new wording in BOLD.

PROPOSED BYLAWS CHANGE

The activities of the association shall be directed by a Board of Governors elected by the members of the association at the Annual Meeting in November. At least ten percent (10%) of the current membership of the association must be present at the Annual Meeting before the election of board members may be held. The number of governors shall be nine but no less than seven. A board member shall serve a term of twoTHREE years, and may be re-elected for a second twoTHREE year term. Terms shall be staggered so that in alternating years four or five candidates will be elected. Board members shall serve without compensation. A Board member shall be eligible for election as a Board officer after one year of service. Members are expected to attend all regularly scheduled Board meetings. Three unexcused absences will result in the member being dropped from the Board. Board members also may be asked to resign for cause on a two-thirds vote of the entire Board. The Board shall appoint an association member to fill any Board vacancy, and a member so appointed shall serve until the next regular election of Board members. At that time, he also shall be eligible to be a candidate for election to the Board for a full twoTHREE-year term. Nominations for Board membership may be made in writing at any time, and given to the Board’s Secretary. A ballot containing the names of the nominees shall be available to all members prior to the Annual Meeting. Ballots from members not attending the Annual Meeting may be given to the Board’s Secretary who shall cast the ballots as the member’s proxy.
